Terms of Service

1. Acceptance of Terms

By creating an account or using ReferenceFlow (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ReferenceFlow is a browser-based PDF viewer designed to replicate the search interface used in NCEES PE and FE computer-based exams. Users supply their own PDF files (“Bring Your Own PDF”). No PDF content is transmitted to or stored on our servers.

3. License and Access

Access to the application requires a one-time license purchase of $29 USD. Upon successful payment, you are granted a non-exclusive, non-transferable, lifetime license to use the Service for personal study purposes.

“Lifetime” means the lifetime of the Service. We reserve the right to discontinue the Service with reasonable notice.

4. Refunds

Refund requests made within 7 days of purchase will be honored, no questions asked. After 7 days, refunds are issued at our discretion. To request a refund, contact support@referenceflow.app.

5. Acceptable Use

You agree not to:

• Share, resell, or transfer your account or license to another person.
• Attempt to reverse-engineer, copy, or reproduce the Service.
• Use the Service in any manner that violates applicable law.
• Upload PDFs containing illegal or harmful content.
• Use the Service in a way that expressly or implicitly suggests affiliation with, endorsement by, or sponsorship from NCEES or Pearson VUE — including reselling exam preparation services that present ReferenceFlow as an official or affiliated tool.

6. Intellectual Property

ReferenceFlow and its interface design are the intellectual property of ReferenceFlow. NCEES® is a registered trademark of the National Council of Examiners for Engineering and Surveying. Pearson VUE is a trademark of NCS Pearson, Inc. ReferenceFlow is an independent tool and is not affiliated with, endorsed by, or sponsored by NCEES or Pearson VUE.

7. Indemnification

You agree to indemnify, defend, and hold harmless ReferenceFlow and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) any PDF content you upload or process through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights related to any content you use with the Service.

8. Disclaimer of Warranties

The Service is provided “as is” without warranty of any kind. We do not guarantee that the Service will accurately replicate every aspect of the exam-day interface, as the official interface is subject to change without notice by NCEES or Pearson VUE.

9. Limitation of Liability

To the maximum extent permitted by law, ReferenceFlow shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to exam outcomes.

10. Dispute Resolution and Arbitration

Informal resolution. Before initiating any formal proceeding, you agree to contact us at support@referenceflow.app and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration. If the dispute is not resolved informally, you and ReferenceFlow agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. You waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

This arbitration clause does not apply to claims that qualify for small claims court.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We reserve the right to update these terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised terms. Material changes will be communicated via email.
